THREADS OF TRADITION - TERMS OF SERVICE (MASTER AGREEMENT)

1. Welcome

Welcome to Threads of Tradition (operated by [Threads of Tradition Inc.], a corporation incorporated under the laws of British Columbia, Canada) (“Threads of Tradition”, “we”, “our”, or “us”).

Threads of Tradition is an online marketplace that connects Members who wish to buy, sell, and rent South Asian clothing, jewellery, accessories, and related fashion items throughout Canada and the United States.

Our mission is to make South Asian fashion more accessible, affordable, and sustainable by extending the life of beautiful garments and creating a trusted community where Members can confidently connect and transact.

These Terms of Service (“Terms”) govern your access to and use of the Threads of Tradition website, applications, services, and marketplace (collectively referred to as the “Platform”).

By creating an account, accessing the Platform, listing an item, purchasing an item, renting an item, selling an item, or otherwise using our services, you acknowledge that you have read, understood, and agree to be legally bound by:

  • These Terms of Service;
  • Our Privacy Policy;
  • Our Marketplace Policies; and
  • Any additional policies or guidelines published by Threads of Tradition from time to time.

If you do not agree with these Terms, you must not access or use the Platform.

2. About Threads of Tradition

Threads of Tradition provides an online technology platform that enables Members to connect directly with one another to buy, sell, and rent South Asian fashion.

We believe that beautiful clothing should be enjoyed beyond a single occasion. Our Platform supports a more sustainable approach to fashion by helping Members extend the life of garments while reducing unnecessary spending and textile waste.

While we provide the technology that facilitates these connections, Threads of Tradition does not participate in the underlying transactions between Members.

3. Our Role

Threads of Tradition operates solely as an online marketplace.

Unless expressly stated otherwise, Threads of Tradition is not:

  • the owner of listed items;
  • the buyer, seller, renter, or vendor of listed items;
  • a retailer or wholesaler;
  • a broker or agent;
  • an auctioneer;
  • an insurer;
  • a shipping or logistics provider;
  • a storage facility;
  • a dry-cleaning service;
  • an alteration service; or
  • a party to agreements entered into between Members.

Threads of Tradition does not take possession of inventory at any time.

All listings are created by Members, and all transactions are entered into directly between Members.

Members are solely responsible for the commitments they make, the information they provide, and the agreements they enter into with one another.

4. Definitions

For the purposes of these Terms:

Account means a registered user account on the Platform.

Buyer means a Member purchasing an item.

Listing means any advertisement, photographs, pricing, descriptions, or information relating to an item offered through the Platform.

Marketplace Policies means the policies published by Threads of Tradition governing the operation of the Platform, including Vendor responsibilities, Buyer responsibilities, rental expectations, security deposits, and transaction procedures.

Member means any individual or business that accesses or uses the Platform.

Platform means the Threads of Tradition website, mobile applications, and related services.

Purchase means the permanent transfer of ownership of an item between Members.

Rental means the temporary use of an item under terms agreed to directly between Members.

Renter means a Member renting an item.

Seller means a Member offering an item for sale.

Vendor means a Member offering an item for rent.

Transaction means any rental, purchase, sale, or other agreement entered into between Members using the Platform.

Content means any Listing, photograph, description, message, review, condition report, or other material submitted by a Member to the Platform.

Personal Information means information about an identifiable individual, as further described in our Privacy Policy.

5. Eligibility

To create an Account and use the Platform, you must:

  • be at least 19 years of age if residing in Canada;
  • be at least 21 years of age if residing in the United States;
  • have the legal capacity to enter into binding contracts;
  • provide accurate and current registration information;
  • comply with all applicable laws.

By creating an Account, you represent and warrant that you satisfy these requirements.

Threads of Tradition reserves the right to request proof of identity, verify information provided by Members, or refuse or terminate access to the Platform where we reasonably believe these requirements have not been met.

6. Creating an Account

To access certain features of the Platform, you must create an Account.

You agree to:

  • provide complete and accurate information;
  • keep your information current;
  • maintain the confidentiality of your login credentials;
  • promptly notify Threads of Tradition of any unauthorized use of your Account; and
  • accept responsibility for all activity conducted through your Account.

You may not create an Account on behalf of another person without their authorization.

Threads of Tradition may suspend or terminate Accounts that contain inaccurate information, duplicate registrations, fraudulent activity, or behaviour that violates these Terms.

For Transactions above a value threshold determined by Threads of Tradition from time to time, or where otherwise required for fraud prevention or regulatory compliance, Threads of Tradition or its payment processor may require additional identity verification before a Listing may be published, a payout released, or a Transaction completed.

7. Membership Roles

A Member may participate on the Platform in one or more roles.

Depending on the transaction, a Member may act as:

  • a Vendor;
  • a Seller;
  • a Buyer;
  • a Renter; or
  • any combination of these roles.

Different responsibilities may apply depending on the role a Member assumes in a particular Transaction.

Additional responsibilities are described in the Marketplace Policies.

8. Using the Platform

Members agree to use the Platform honestly, respectfully, and in accordance with these Terms.

By using Threads of Tradition, Members agree to:

  • act in good faith;
  • communicate respectfully with other Members;
  • provide accurate information;
  • honour commitments made through the Platform;
  • comply with all applicable laws;
  • respect intellectual property rights; and
  • refrain from conduct that could harm the Platform or other Members.

Threads of Tradition reserves the right to investigate activity that appears inconsistent with these principles and to take appropriate action where necessary to protect the Platform and its Members.

9. Changes to These Terms

Threads of Tradition may update these Terms from time to time to reflect changes to our business, services, legal requirements, or marketplace operations.

Updated Terms will be posted on the Platform together with the revised effective date.

Where required by law, we will provide reasonable notice of material changes.

Your continued use of the Platform after updated Terms become effective constitutes your acceptance of those changes.

If you do not agree with any revised Terms, you must discontinue using the Platform and close your Account.

PART 2 – MARKETPLACE TRANSACTIONS

10. Listings

Threads of Tradition provides Members with the ability to create Listings for eligible items offered for sale or rent.

Members are solely responsible for the content of their Listings, including all descriptions, photographs, pricing, availability, and other information provided.

By creating a Listing, you represent and warrant that:

  • you own the item or have the legal authority to sell or rent it;
  • the item is accurately described;
  • all photographs accurately represent the current condition of the item;
  • all known defects, alterations, stains, repairs, wear, damage, or missing embellishments have been disclosed;
  • the Listing does not contain false, misleading, deceptive, or fraudulent information;
  • the Listing complies with all applicable laws and these Terms.

Threads of Tradition does not independently verify the accuracy of Listings and makes no representations regarding the quality, authenticity, ownership, condition, legality, or suitability of any listed item.

Threads of Tradition reserves the right, but is not obligated, to edit, suspend, remove, or refuse any Listing that, in our sole discretion, violates these Terms, the Marketplace Policies, or applicable law.

11. Transactions Between Members

All Transactions conducted through Threads of Tradition occur directly between Members.

Threads of Tradition provides the technology that enables Members to connect and communicate but is not a party to any agreement entered into between Members.

Members are solely responsible for negotiating and agreeing upon all terms of a Transaction, including but not limited to:

  • purchase price;
  • rental fees;
  • security deposits;
  • rental periods;
  • pickup and return dates;
  • pickup and return locations;
  • shipping arrangements;
  • delivery methods;
  • cleaning expectations;
  • any additional conditions agreed between the parties.

Members acknowledge that they enter into Transactions voluntarily and at their own risk.

12. Rental Transactions

Rental agreements are entered into directly between the Vendor and the Renter.

Unless otherwise agreed by the parties, the Vendor is responsible for ensuring that the rented item is accurately represented and available for the agreed rental period.

The Renter is responsible for exercising reasonable care while the item is in their possession and returning it in accordance with the agreed terms.

Additional rental expectations are described in the Marketplace Policies.

Unless the Vendor has specified different cancellation terms on the Listing, a Renter who cancels a confirmed rental more than seven (7) days before the scheduled pickup or delivery date is entitled to a full refund of the rental fee; cancellations made within seven (7) days of the scheduled date are non-refundable, except where the Vendor fails to provide the item as agreed. This baseline policy applies only where the parties have not agreed to different terms and does not limit a Member’s rights under applicable consumer protection law.

13. Purchase Transactions

Purchase agreements are entered into directly between the Seller and the Buyer.

Ownership of an item transfers directly between the participating Members in accordance with the terms agreed upon by those Members.

Threads of Tradition does not guarantee the completion of any purchase transaction.

Unless the Seller has specified a different policy on the Listing, purchases are final once payment is confirmed and are not eligible for refund except where the item received materially differs from the Listing description, subject to the dispute process described in Section 42 and the applicable Marketplace Policies. This baseline policy does not limit a Member’s rights under applicable consumer protection law.

14. Pricing

Members are solely responsible for determining the prices of items they list for sale or rent.

Threads of Tradition does not establish, negotiate, or guarantee pricing between Members.

All prices displayed on the Platform are determined by the Member creating the Listing.

Threads of Tradition reserves the right to establish minimum or maximum pricing guidelines for certain categories or promotional programs where necessary to support the operation of the Platform.

15. Marketplace Fees

Threads of Tradition charges marketplace service fees for Transactions completed through the Platform.

Applicable fees are displayed on the Platform and may be updated from time to time.

Members are responsible for reviewing the applicable fee structure before completing a Transaction.

16. Founding Vendor Program

Threads of Tradition recognizes and values the Members who help establish our marketplace during its early stages.

The first one hundred (100) eligible Members who register as Vendors and complete their first qualifying Transaction through the Platform (“Founding Vendors”) will retain eighty-five percent (85%) of the value of each eligible rental or sale completed through the Platform for the lifetime of their Vendor account, subject to continued compliance with these Terms and any applicable program requirements.

Members who qualify after the Founding Vendor Program has reached capacity will retain eighty percent (80%) of the value of each eligible rental or sale unless otherwise specified by Threads of Tradition.

Threads of Tradition reserves the right to modify future marketplace fee structures, promotional programs, or commission rates; however, the lifetime Founding Vendor benefit will continue to apply to eligible Founding Vendors unless terminated for fraud, abuse, material breach of these Terms, or other circumstances where account termination is warranted.

Threads of Tradition reserves the right to determine eligibility for the Founding Vendor Program and to verify that qualifying requirements have been satisfied.

Any assignment or transfer of these Terms under Section 50 (Assignment), including in connection with a corporate reorganization, merger, acquisition, financing, or sale of assets, will remain subject to the lifetime Founding Vendor benefit described in this Section, and Threads of Tradition will require any assignee or successor to honour that benefit for eligible Founding Vendors.

17. Payments

Payments made through the Platform are processed by Stripe or another approved third-party payment processor.

By using the Platform, Members agree to comply with the terms and conditions of the applicable payment processor.

Threads of Tradition does not control the operation of third-party payment processors and is not responsible for:

  • payment processing errors;
  • banking delays;
  • declined transactions;
  • chargebacks;
  • technical interruptions;
  • processor outages;
  • currency conversion;
  • banking fees charged by financial institutions.

Threads of Tradition reserves the right to suspend payouts where fraud, unlawful activity, or violations of these Terms are suspected.

18. Security Deposits

For rental Transactions, Threads of Tradition may facilitate the collection and holding of a security deposit.

Security deposits are held in escrow directly by Stripe, Threads of Tradition’s approved payment processor, and are not received into or held in any account owned or controlled by Threads of Tradition. Release, partial release, or withholding of a security deposit is administered through Stripe in accordance with instructions provided by Threads of Tradition following its review under this Section.

Security deposits are intended to provide a financial safeguard for participating Members in the event of damage, loss, excessive cleaning costs (where disclosed in advance), or other circumstances identified in the Marketplace Policies.

Threads of Tradition may, but is not obligated to, review documentation submitted by Members relating to the administration of a security deposit.

Documentation may include, but is not limited to:

  • photographs;
  • condition reports;
  • platform messages;
  • transaction records; and
  • any other information reasonably requested by Threads of Tradition.

Threads of Tradition reserves the right, in its sole discretion, to release, partially release, or withhold a security deposit based on the information available.

Threads of Tradition does not guarantee recovery of losses or damages beyond the amount of any applicable security deposit.

Additional details regarding security deposits are set out in the Marketplace Policies.

19. Pickup, Delivery, Shipping, and Returns

Threads of Tradition does not coordinate, supervise, arrange, or manage the exchange of items between Members.

All arrangements relating to:

  • pickup;
  • delivery;
  • shipping;
  • transportation;
  • return locations;
  • return dates;
  • return methods; and
  • exchange of items

are the sole responsibility of the participating Members.

Threads of Tradition never takes possession of inventory and is not responsible for any loss, theft, delay, damage, failed delivery, failed pickup, shipping issue, or transportation-related dispute arising from a Transaction.

Members are encouraged to communicate through the Platform’s messaging system and to document agreed arrangements whenever possible.

Threads of Tradition does not arrange, facilitate, or participate in shipping between Members in any way. Cross-border shipping between Canada and the United States occurs only if the Vendor and Buyer/Renter mutually agree to it as part of their own Transaction terms. Where Members agree to cross-border shipping, the shipping Member is solely responsible for accurately completing any required customs declarations, and the receiving Member is solely responsible for any duties, taxes, brokerage fees, or other charges assessed by customs authorities. Threads of Tradition is not a party to that arrangement and is not responsible for customs delays, seizures, or charges arising from any cross-border shipment.

20. Taxes

Members are solely responsible for determining, collecting, reporting, and remitting any taxes applicable to their Transactions.

Threads of Tradition does not provide tax advice and makes no representations regarding Members’ tax obligations.

Members are encouraged to seek independent professional advice regarding their individual tax responsibilities.

Notwithstanding the foregoing, where applicable law requires Threads of Tradition, as a marketplace facilitator, to calculate, collect, and remit sales, use, or similar transaction taxes on behalf of Members in a particular jurisdiction, Threads of Tradition will do so, and the amount collected will be identified separately at checkout. This does not relieve Members of responsibility for taxes not covered by marketplace facilitator obligations, including income tax.

Vendors and Sellers acknowledge that Threads of Tradition may be required by law, including Canada’s reporting rules for digital platform operators and equivalent United States information-reporting requirements, to collect tax identification information from Members and to report Transaction income to the Canada Revenue Agency, the Internal Revenue Service, or other applicable tax authorities. Members agree to provide accurate tax identification information when requested and acknowledge that failure to do so may result in suspension of payouts or Account restrictions.

PART 3 – MEMBER RESPONSIBILITIES, PLATFORM STANDARDS & ENFORCEMENT

21. Member Responsibilities

Threads of Tradition is built on trust, transparency, and respect. Every Member plays an important role in maintaining a safe and positive marketplace experience.

By using the Platform, Members agree to:

  • act honestly and in good faith;
  • provide accurate, complete, and current information;
  • communicate respectfully with other Members;
  • honour commitments made through the Platform;
  • comply with these Terms, the Marketplace Policies, and all applicable laws;
  • respect the rights, privacy, and property of other Members; and
  • use the Platform only for its intended purpose.

Members are responsible for their own decisions and actions while using the Platform.

22. Vendor Responsibilities

Members acting as Vendors or Sellers agree to:

  • accurately describe all listed items;
  • disclose all known defects, alterations, stains, repairs, wear, damage, or missing embellishments;
  • use photographs that accurately represent the current condition of the item;
  • honour confirmed Transactions;
  • communicate promptly with Buyers and Renters;
  • provide the item in the condition represented in the Listing;
  • comply with all applicable laws relating to the sale or rental of goods; and
  • cooperate in good faith if questions arise regarding a Transaction.

Additional operational requirements for Vendors are set out in the Marketplace Policies.

23. Buyer and Renter Responsibilities

Members acting as Buyers or Renters agree to:

  • review Listings carefully before entering into a Transaction;
  • ask questions if clarification is needed;
  • inspect items where reasonably possible before accepting them;
  • pay all agreed amounts when due;
  • exercise reasonable care while an item is in their possession;
  • return rented items in accordance with the agreed terms; and
  • communicate promptly if an issue arises during a Transaction.

Members acknowledge that they are responsible for satisfying themselves that an item meets their expectations before completing a Transaction.

24. Member Communications

Threads of Tradition encourages Members to communicate through the Platform’s messaging system whenever practical.

Using the Platform’s messaging system helps create a record of communications that may assist in the event of a dispute.

Members agree to communicate respectfully and professionally.

The following conduct is prohibited:

  • harassment;
  • threats or intimidation;
  • discriminatory or hateful language;
  • obscene or abusive communications;
  • attempts to solicit personal financial information outside the Platform;
  • spam or unsolicited advertising.

Threads of Tradition reserves the right to review reported communications where necessary to investigate suspected violations of these Terms.

25. Prohibited Activities

Members must not use the Platform to:

  • provide false or misleading information;
  • impersonate another person;
  • create fraudulent Listings;
  • sell or rent stolen property;
  • offer counterfeit goods;
  • infringe intellectual property rights;
  • engage in deceptive business practices;
  • manipulate reviews or ratings;
  • circumvent Platform fees;
  • complete Transactions outside the Platform for the purpose of avoiding fees;
  • interfere with the operation or security of the Platform;
  • upload malicious software or harmful code;
  • scrape or harvest data from the Platform without authorization;
  • engage in unlawful, abusive, or fraudulent conduct.

Threads of Tradition may investigate suspected violations and take any action permitted under these Terms.

26. Prohibited Items

Members may not list any item that:

  • is illegal to possess, sell, or rent;
  • infringes another person’s intellectual property rights;
  • is counterfeit or intentionally misrepresented;
  • has been recalled by a government authority where sale or rental is prohibited;
  • poses an unreasonable health or safety risk;
  • violates these Terms or the Marketplace Policies.

Threads of Tradition reserves the right to remove any Listing that does not meet Platform standards.

27. Intellectual Property

All content created by Threads of Tradition, including but not limited to our name, logo, branding, website design, graphics, software, text, and original content, is the property of Threads of Tradition or its licensors and is protected by applicable intellectual property laws.

Except as expressly permitted, no portion of the Platform may be copied, reproduced, modified, distributed, or used without prior written permission.

Notice and Takedown of Infringing Listings

If you believe that a Listing or other content on the Platform infringes your copyright, trademark, or other intellectual property rights, you may submit a notice to Threads of Tradition’s designated agent at shopthreadsoftradition@gmail.com, including: (a) identification of the work claimed to be infringed; (b) identification of the allegedly infringing material and its location on the Platform; (c) your contact information; (d) a statement of good-faith belief that the use is unauthorized; and (e) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the rights holder.

Threads of Tradition will review valid notices, may remove or disable access to the reported Listing, and will notify the affected Member. Threads of Tradition reserves the right to suspend or terminate the Accounts of Members who are found to be repeat infringers.

28. Member Content

Members retain ownership of the photographs, descriptions, and other content they submit to the Platform.

By submitting content, Members grant Threads of Tradition a worldwide, non-exclusive, royalty-free licence to:

  • display Listings on the Platform;
  • reproduce Listing content;
  • promote Listings through marketing and advertising;
  • modify photographs for formatting purposes only;
  • use submitted content in connection with operating, improving, and promoting the Platform.

Members represent and warrant that they own or have the necessary rights to the content they upload.

29. Reviews and Ratings

Members may leave reviews and ratings relating to completed Transactions where this functionality is available.

Reviews must be:

  • honest;
  • respectful;
  • based on personal experience; and
  • free from defamatory, discriminatory, or misleading statements.

Threads of Tradition reserves the right to remove reviews that violate these Terms or applicable law.

30. Platform Monitoring

Threads of Tradition is not obligated to monitor all activity occurring on the Platform.

However, we reserve the right to investigate suspected violations of these Terms, Marketplace Policies, or applicable laws where necessary to protect Members and the integrity of the Platform.

Nothing in these Terms creates an obligation for Threads of Tradition to investigate every complaint or dispute.

31. Suspension and Termination

Threads of Tradition may, at its sole discretion and without prior notice where appropriate, suspend, restrict, or terminate a Member’s Account if we reasonably believe that the Member has:

  • violated these Terms;
  • violated the Marketplace Policies;
  • provided false or misleading information;
  • engaged in fraudulent or unlawful activity;
  • repeatedly failed to honour Transactions;
  • abused or harassed other Members;
  • attempted to circumvent Platform fees;
  • misused the Platform; or
  • otherwise engaged in conduct that may harm Threads of Tradition or its Members.

Where appropriate, Threads of Tradition may also remove Listings, withhold payouts pending investigation, or take other reasonable steps to protect the Platform and its Members.

Termination of an Account does not relieve a Member of obligations arising from Transactions entered into before termination.

32. Reporting Concerns

Members are encouraged to report suspected fraud, counterfeit items, safety concerns, policy violations, or unlawful activity through the reporting tools provided on the Platform.

Threads of Tradition may review reports and determine what action, if any, is appropriate.

Submission of a report does not guarantee that Threads of Tradition will investigate, remove content, suspend an Account, or take any particular action.

PART 4 – PAYMENTS, LIABILITY, DISPUTES & LEGAL PROTECTIONS

33. Approved Payment Processing

To receive payments through the Platform, Members acting as Vendors or Sellers must maintain an active account with Threads of Tradition’s approved payment processor, currently Stripe.

Members are responsible for creating and maintaining their payment processor account and for complying with the payment processor’s terms and conditions.

Threads of Tradition may suspend Listings or Transactions where a Member does not maintain a valid payment account.

34. Platform Transactions

Threads of Tradition has invested significant resources in developing, operating, and maintaining a trusted marketplace for Members.

Accordingly, any Transaction that originates through the Platform, including inquiries, bookings, negotiations, offers, or Listings, must be completed through the Platform using Threads of Tradition’s approved payment process unless expressly authorized by Threads of Tradition in writing.

Members agree not to use the Platform to identify, contact, or establish relationships with other Members for the purpose of completing Transactions outside the Platform.

35. Circumvention of Platform Fees

Members must not intentionally avoid, reduce, or circumvent Platform service fees.

Prohibited conduct includes, but is not limited to:

  • requesting or accepting cash payments for Transactions initiated through the Platform;
  • requesting or accepting electronic transfers outside the Platform for Transactions initiated through the Platform;
  • directing another Member to complete a Transaction outside the Platform after first connecting through Threads of Tradition;
  • encouraging another Member to cancel a Platform Transaction in order to complete it privately;
  • creating duplicate Listings or accounts to avoid Platform fees; or
  • engaging in any conduct intended to deprive Threads of Tradition of marketplace fees properly owing.

Threads of Tradition reserves the right to investigate suspected fee circumvention.

36. Consequences of Circumvention

Where Threads of Tradition reasonably believes that a Member has intentionally circumvented Platform fees or otherwise breached these Terms, we may, at our sole discretion:

  • remove Listings;
  • suspend or terminate Accounts;
  • cancel pending Transactions;
  • refuse future access to the Platform;
  • withhold payouts where permitted by law and consistent with applicable payment processor requirements pending investigation; and
  • pursue any legal or equitable remedies available under applicable law.

These remedies are cumulative and may be exercised individually or together.

37. Marketplace Disclaimer

Threads of Tradition provides technology that enables Members to connect and transact directly with one another.

Threads of Tradition does not guarantee:

  • the accuracy of Listings;
  • the quality, condition, authenticity, or legality of listed items;
  • that Transactions will be completed;
  • the conduct of any Member;
  • the performance of contractual obligations between Members; or
  • the outcome of disputes between Members.

Members acknowledge that they assume responsibility for their own decisions and Transactions.

38. Assumption of Risk

Members acknowledge that buying, selling, and renting pre-owned items involves inherent risks.

By using the Platform, Members voluntarily assume all risks associated with Transactions conducted through the Platform, including risks relating to:

  • item condition;
  • sizing or fit;
  • authenticity;
  • delays;
  • transportation;
  • loss;
  • theft;
  • damage;
  • non-performance by another Member; and
  • disputes arising between Members.

Given that Transactions may involve high-value items such as bridal wear and jewellery, Members are strongly encouraged to independently insure items they own, list, rent, or borrow through the Platform, and to confirm whether their existing homeowner’s, renter’s, or personal property insurance extends to items loaned, rented, or shipped to third parties. Threads of Tradition does not provide insurance coverage for listed items.

39. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Threads of Tradition disclaims all warranties and representations, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation.

40. Limitation of Liability

To the fullest extent permitted by applicable law, Threads of Tradition, its directors, officers, employees, contractors, affiliates, and representatives shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business opportunity, loss of data, or reputational harm arising out of or relating to the use of the Platform.

Without limiting the foregoing, Threads of Tradition shall not be liable for:

  • product quality or condition;
  • misrepresentations made by Members;
  • damage, loss, or theft of items;
  • shipping, pickup, delivery, or return issues;
  • payment processor failures;
  • rental or purchase disputes;
  • Member conduct; or
  • any agreement entered into between Members.

Where liability cannot be excluded by law, Threads of Tradition’s total aggregate liability shall not exceed the total marketplace fees paid directly to Threads of Tradition in connection with the specific Transaction giving rise to the claim.

41. Indemnification

Members agree to defend, indemnify, and hold harmless Threads of Tradition, its directors, officers, employees, contractors, affiliates, successors, and assigns from and against any claims, losses, damages, liabilities, costs, expenses, or legal fees arising out of or relating to:

  • their use of the Platform;
  • their Listings;
  • their Transactions;
  • their breach of these Terms or the Marketplace Policies;
  • infringement of any third-party rights; or
  • any negligent, fraudulent, or unlawful act or omission.

42. Disputes Between Members

Members agree that they are responsible for attempting to resolve disputes directly with one another in the first instance.

Threads of Tradition may, but is not obligated to, review documentation or facilitate communication between Members.

Nothing in these Terms creates an obligation for Threads of Tradition to investigate, mediate, arbitrate, or resolve disputes between Members.

Any assistance provided by Threads of Tradition is offered at our sole discretion and does not make Threads of Tradition a party to the dispute or create any duty of care.

PART 5 – GENERAL LEGAL PROVISIONS

43. Electronic Communications

By creating an Account and using the Platform, Members consent to receive communications from Threads of Tradition electronically.

Electronic communications may include, but are not limited to:

  • account notifications;
  • transaction confirmations;
  • payment notifications;
  • policy updates;
  • marketing communications (where consent has been provided);
  • dispute-related communications; and
  • legal notices.

Electronic communications satisfy any legal requirement that such communications be provided in writing, except where prohibited by applicable law.

44. Electronic Acceptance and Signatures

Members acknowledge that by clicking “I Agree,” creating an Account, completing a Transaction, uploading documentation, or otherwise using the Platform, they are providing their electronic acceptance of these Terms.

Where permitted by law, electronic records, electronic signatures, electronic acknowledgements, uploaded photographs, completed checklists, condition reports, platform messages, and other digital records maintained through the Platform shall have the same legal force and effect as original paper documents and handwritten signatures.

Members are responsible for ensuring that information they submit electronically is complete and accurate.

45. Platform Records

Threads of Tradition may maintain records relating to the operation of the Platform, including:

  • Listings;
  • Transactions;
  • payment records;
  • communications submitted through the Platform;
  • uploaded photographs;
  • completed checklists;
  • condition reports;
  • account activity; and
  • dispute documentation.

Platform records may be retained for operational, legal, fraud prevention, security, and regulatory purposes in accordance with our Privacy Policy.

46. Intellectual Property Rights

The Threads of Tradition name, logo, branding, website design, graphics, software, databases, text, images created by Threads of Tradition, and all related intellectual property are owned by or licensed to Threads of Tradition.

Except as expressly permitted, Members may not:

  • reproduce;
  • copy;
  • distribute;
  • modify;
  • reverse engineer;
  • create derivative works from;
  • publicly display; or
  • commercially exploit

any portion of the Platform without our prior written consent.

Nothing in these Terms transfers ownership of Threads of Tradition’s intellectual property to any Member.

47. Feedback

If a Member provides suggestions, ideas, recommendations, or feedback regarding the Platform, Threads of Tradition may use that feedback without restriction or obligation to compensate the Member.

48. Third-Party Services

The Platform may contain links to or integrate with third-party services, including payment processors, mapping services, communication tools, analytics providers, or social media platforms.

Threads of Tradition does not control and is not responsible for the availability, accuracy, security, policies, or practices of any third-party service.

Members use third-party services at their own risk and remain subject to the applicable third-party terms and conditions.

49. Force Majeure

Threads of Tradition shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to:

  • natural disasters;
  • severe weather;
  • fire;
  • flood;
  • pandemics;
  • epidemics;
  • labour disputes;
  • internet or telecommunications failures;
  • cyberattacks;
  • power outages;
  • governmental actions;
  • war;
  • civil unrest; or
  • other events beyond our reasonable control.

50. Assignment

Members may not assign or transfer their rights or obligations under these Terms without the prior written consent of Threads of Tradition.

Threads of Tradition may assign or transfer these Terms as part of a corporate reorganization, merger, acquisition, financing, or sale of all or substantially all of its assets.

51. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, that provision shall be severed from the remaining Terms.

The remaining provisions shall continue in full force and effect.

52. No Waiver

Failure by Threads of Tradition to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other rights available to Threads of Tradition.

Any waiver must be in writing and signed by an authorized representative of Threads of Tradition.

53. Entire Agreement

These Terms, together with the Privacy Policy, Marketplace Policies, and any additional policies or guidelines published by Threads of Tradition, constitute the entire agreement between Threads of Tradition and its Members regarding the use of the Platform.

They supersede all prior discussions, understandings, representations, and agreements relating to the Platform.

54. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

55. Dispute Resolution

Before commencing legal proceedings, Members agree to make reasonable efforts to resolve disputes directly with the other Member involved in the Transaction.

If a dispute relates to Threads of Tradition, Members agree to first contact Threads of Tradition to seek an informal resolution.

Where a dispute cannot be resolved informally, it shall be resolved in accordance with the applicable laws of British Columbia, unless otherwise required by mandatory consumer protection legislation.

Nothing in these Terms limits Threads of Tradition’s right to seek injunctive or equitable relief where necessary to protect its intellectual property, confidential information, business interests, or the integrity of the Platform.

56. Changes to the Platform

Threads of Tradition continually improves and evolves the Platform.

We reserve the right to:

  • modify Platform features;
  • introduce new services;
  • discontinue services;
  • change marketplace fees;
  • update commission structures for future Members;
  • revise Marketplace Policies; and
  • improve Platform functionality,

provided that any published lifetime Founding Vendor benefits will continue to be honoured in accordance with the applicable program terms.

Accessibility

Threads of Tradition is committed to making the Platform accessible to Members of all abilities and aims to conform to applicable web accessibility standards. If you encounter an accessibility barrier while using the Platform, please contact us using the information in Section 57 so that we can address it.

58. Acceptance of these Terms

By creating an Account, accessing the Platform, listing an item, completing a Transaction, or otherwise using Threads of Tradition, you acknowledge that you have:

  • read these Terms of Service;
  • understood these Terms of Service;
  • had the opportunity to seek independent legal advice if desired; and
  • agreed to be legally bound by these Terms of Service.

If you do not agree with these Terms, you must immediately discontinue use of the Platform.
